The terms on which we quote, supply and invoice.
Last updated: September 2026. These terms apply to universalcorporate.in and to supplies purchased from Universal Corporate.
These terms govern your use of universalcorporate.in and any supply of goods by Universal Corporate. Placing an order means you accept them.
Where we have signed a separate supply agreement or rate contract with you, that agreement takes precedence over these terms wherever the two differ.
Quotations
Quotations are valid for 15 days from issue unless the quotation itself states otherwise. Items whose price is linked to commodity markets may carry a shorter validity, which we state on the quotation rather than repricing without notice.
A quotation is an invitation to order, not a binding contract. A contract forms when we confirm your order in writing.
Bulk discount slabs shown on this website are indicative bands. The slab actually applied depends on the item mix and is shown line by line on your quotation.
Orders and prices
Prices are exclusive of GST unless stated otherwise. GST is charged at the applicable rate and shown separately on the invoice.
We reserve the right to decline an order, or to withdraw a quotation before order confirmation, including where an item is unavailable or a price was stated in error.
Where an item you ordered becomes unavailable, we will offer an equivalent alternative or remove it from the order. We will not substitute a different specification without telling you first.
Delivery
Delivery timelines quoted on this website and on your quotation are estimates made in good faith. Within Delhi NCR we deliver on our own schedule and can commit to a slot. Outside NCR delivery depends on a transporter and we quote a realistic window rather than a fixed date.
Risk in the goods passes to you on delivery to the address you nominated. Please check consignments on receipt and note any visible damage or shortage on the delivery challan.
Delivery within Delhi NCR is included; outside NCR, freight is quoted with the order. Unusual requirements — odd-hour delivery, very heavy consignments, multiple site drops beyond those agreed — may attract a charge, which we state on the quotation.
Payment and credit
Unless credit terms have been agreed, payment is due before or on delivery. Credit terms of 15 to 30 days are available to registered businesses after verification of GSTIN and business registration, at our discretion.
We may suspend supply or withdraw credit terms where an account is overdue. Overdue amounts on credit accounts may attract interest as agreed in writing.
Title to the goods remains with us until payment is received in full.
Returns and defects
Unopened goods in resaleable condition may be returned within 7 days of delivery. Defective or incorrectly supplied goods are replaced at no cost. Full detail is in our Returns & Refunds Policy, which forms part of these terms.
Consumables that have been opened or used, and items made or sourced specially to your specification, cannot be returned except where defective.
Liability
We are responsible for supplying goods that match the specification quoted and are of satisfactory quality. Where we get that wrong, we will replace the goods or refund them.
We are not liable for indirect or consequential loss — including loss of profit, business interruption or loss of contracts — arising from late or defective supply. Our total liability in respect of any order will not exceed the value of that order.
Nothing in these terms limits liability that cannot be limited under applicable law, including under the Consumer Protection Act, 2019.
Governing law
These terms are governed by the laws of India. The courts at Delhi have exclusive jurisdiction over any dispute arising from them.
